Course overview

Business decisions can create legal obligations before a dispute arises. This course introduces the commercial law principles that professionals encounter when establishing, running or closing a business, with attention to contracts, sales of goods and employment practices. International commercial law provides the context, and the common law system receives particular emphasis.

Contract wording matters throughout the relationship. Delegates examine formation and interpretation, preliminary documents and the miscellaneous clauses that govern notices, governing law or changes of party. Work on dispute resolution includes court proceedings and alternatives, followed by remedies for breach. Exercises use relevant case law to consider specific commercial situations.

Business structures and transactions form the next part of the agenda. Sessions compare business vehicles and examine distribution, agency and acquisitions, including warranties and indemnities that allocate risk. Insolvency work considers directors' responsibilities and available procedures. The final module covers negligence and defamation alongside intellectual property rights and their management.
