Course overview

International business relationships can involve different legal systems and approaches to contracting. This programme examines the obligations created by commercial agreements and the consequences when either party fails to fulfil them. Delegates consider how contracts protect organisational interests and how contracting strategies can affect commercial outcomes.

The work begins with formation. Sessions address authority and agency, tendering and alternative sourcing, before examining the order of contractual terms and the transfer of risk and ownership in international trade. Supporting documents receive a full day, including guarantees, letters and insurance policies used to secure performance obligations.

Change introduces further obligations to manage. Delegates examine assignment and novation, variations to scope and claims arising from delay or disruption, including force majeure. The final day addresses conflict avoidance and staged dispute resolution clauses, then considers negotiation, court proceedings and alternatives such as arbitration, mediation and ENE.
