Course overview

Contracts define obligations and rights across oil and gas projects, including exploration, production, refining and distribution. The course examines how those agreements allocate risk and provide for disagreements, with domestic and international contexts considered across five days. Legal and non-legal professionals study the principles involved in forming, managing and terminating agreements.

Clauses receive practical attention. After examining exploration and production contracts and joint ventures, delegates study indemnities and provisions for force majeure or hardship, then consider renewal, confidentiality and intellectual property rights. International sessions address OPEC agreements and bilateral investment treaties, alongside licensing, concessions and the tax, customs and export issues affecting cross-border projects.

Lectures, workshops and cases support the legal content. Negotiation and drafting simulations include managing amendments and using contract management software. The dispute sessions examine arbitration and mediation, as well as litigation and international enforcement, with a mock arbitration workshop on the final day.
