Governance arrangements determine how a company relates to its owners and other stakeholders. The course compares Shareholder Wealth Maximisation (SWM), associated mainly with the US and UK, with Corporate Wealth Maximisation (CWM) and approaches used in Germany and Japan. These comparisons include the place of employees and bankers within governance arrangements.
Board structure receives close attention. Delegates examine one-tier and two-tier arrangements, the chairperson's role and the duties of directors, then consider how committees carry out their responsibilities. The audit committee and the appointment and remuneration committee are included, alongside the effect of institutional investors and the role of executive management.
The later modules examine board selection and evaluation, independence and the communication of governance arrangements. Transparency follows these discussions. Work addresses remuneration disclosure and related-party transactions, together with guidance from OECD and ICGN on access to information and transparency and AICPA material on related parties.
