Course overview

A reliable contract needs precise drafting. It also requires active management after signing. Standard clauses are rarely enough on their own. This course explores how to structure agreements properly, viewing commercial arrangements from the supplier's perspective to help buyers and project staff build stable working relationships.

Delegates study negotiation principles. They set contractual goals and find an appropriate balance of risk. Next, they look at the core elements of a contract, use standard forms, and apply Letters of Intent.

The sessions explain operative provisions. Delegates study title, risk, and how to exclude liability. They run kick-off meetings, manage under-performance, and look at ways to resolve claims through litigation, arbitration, or expert determination.

Course objectives

By the end of the course, delegates will be able to:

  1. Explain why negotiating the deal matters before structuring the documentation
  2. Use tools to help negotiations and run contracts efficiently
  3. Review and modify specific contract clauses using real examples
  4. Compare different approaches across various jurisdictions
  5. Identify ways to avoid disputes or settle them successfully
